1. Client Requirements

Before the commencement of any project or making an advance payment, we require clients to clarify all project requirements. It is essential for the success of the project that the client provides detailed specifications and expectations. Failure to do so may result in delays or additional costs.

2. Single Point of Contact

We request our clients to assign a single point of contact for each project. This designated individual will be responsible for facilitating communication between the client and Witscom Technologies LLP. Having a single point of contact ensures efficient and streamlined communication, reducing the risk of misunderstandings and delays.

3. Project Initiation

Projects will commence only after the client has provided clear requirements and made the required advance payment. The commencement date will be mutually agreed upon by both parties.

4. Project Delivery

Project delivery timelines are crucial to the success of our engagements, and we are committed to delivering your project within the agreed-upon timeframe. It is essential to note that any delays in project completion attributable to missing requirements, delayed communication, or prolonged approval processes from the client may impact the delivery schedule. We kindly request our clients to provide comprehensive project requirements at the outset and maintain open lines of communication to facilitate a smooth and timely project progression. Any modifications to project scope or requirements after commencement may result in adjusted delivery timelines. We value your collaboration in ensuring the efficient and successful completion of your project.

In the interest of enhancing the security measures applied to our delivered systems, it is important to note that one or more files within the system may be encrypted. This encryption is implemented with the primary objective of safeguarding sensitive information, including system credentials and proprietary business logic. Similar to the common practice of encrypting dynamic-link library (DLL) files in Windows environments, this precautionary measure is taken to mitigate potential security risks and unauthorized access. The encryption is a pivotal aspect of our commitment to ensuring the confidentiality and integrity of your system, contributing to a robust defense against potential vulnerabilities.

4.1 Annual Maintenance Contract i.e. AMC

While our team has dedicated significant time and resources to meticulously develop our software, we acknowledge that even the most well-crafted programs may encounter unforeseen bugs and issues during real-world usage. Recognizing the dynamic nature of technology and evolving user needs, we understand the importance of providing ongoing support to ensure a seamless and optimized experience for our users. Implementing an Annual Maintenance Contract (AMC) becomes essential in this context, as it offers a structured framework for addressing any unexpected glitches or challenges that may arise post-deployment. The AMC not only guarantees timely resolution of software-related issues but also provides users with the peace of mind that comes from knowing they have access to continuous support and updates. By establishing an effective AMC, we aim to foster a lasting partnership with our clients, demonstrating our commitment to delivering a reliable and enduring software solution.

Moreover, it is crucial to emphasize that without an Annual Maintenance Contract (AMC), our ability to provide extensive support may be limited. In the absence of a structured maintenance agreement, any services required for bug resolution, updates, or enhancements will be chargeable at actual rates. While we are committed to accommodating minor changes at our discretion free of cost as a goodwill gesture, the absence of an AMC means that comprehensive support for unforeseen issues may not be guaranteed. An AMC not only ensures a systematic approach to addressing software-related challenges but also allows us to offer a more cost-effective and client-friendly support mechanism, reinforcing our dedication to delivering a robust and user-friendly software experience.

5. Payment Terms

Payment terms will be outlined in the project proposal and agreement. Clients are required to adhere to the agreed payment schedule. Failure to make timely payments may result in project delays or suspension of services. All payments are non refundable as resource allocation takes place basis the payment.

5.1. **Non-Refundable Payments:**
All payments made to Witscom Technologies LLP are non-refundable. Once a payment is received, resources are immediately allocated and consumed to initiate and facilitate the requested services. Due to this allocation, we are unable to offer refunds.

5.2. **Resource Allocation:**
Our team invests time, effort, and resources to commence and progress with your project as soon as payment is received. This includes the assignment of skilled professionals, software licenses, and other resources required for project initiation.

5.3. **Change of Requirements:**
If there are changes to your project requirements after payment, additional charges may apply. We recommend clarifying all project specifications before making any payments to avoid additional costs.

5.4. **Project Termination:**
In the event of project termination by the client, payments for services rendered up to the termination date are still due and non-refundable.

By making a payment to Witscom Technologies LLP, you acknowledge and agree to our non-refundable policy as outlined above.

6. Changes and Modifications

Any changes or modifications to the project scope, requirements, or deliverables must be communicated and agreed upon by both parties in writing. Additional charges may apply for changes requested after the project has commenced unless mentioned as an inclusion in the AMC contract/email.

7. Confidentiality

All information shared by the client will be treated with the utmost confidentiality. We will not disclose proprietary or sensitive information to third parties without the client's explicit consent.

8. Termination of Services

Either party may terminate services with written notice if the other party breaches these Terms. In the event of termination, the client is responsible for payment for services rendered up to the termination date.

9. Governing Law

These Terms are governed by and construed in accordance with the laws of Mumbai. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Mumbai.

10. Disclaimer

10.1. Limitation of Liability:
